ororo Everywhere Content Terms & Conditions

By participating in the Campaign as described below, you acknowledge that you have read, understand, and agree to these Terms.

1. How to Participate

To participate in ororo Everywhere, you may post or otherwise submit a photograph, video, Reel, caption, story, or other content featuring ororo products ("Content") in accordance with the Campaign instructions.

For Instagram participation, participants may be asked to:

• Follow @ororo.wear;
• Post a photo or Reel featuring ororo apparel or products;
• Tag @ororo.wear;
• Include #ororoEverywhere; and
• Include or provide a location associated with the Content.

By intentionally submitting Content to the Campaign, including by using #ororoEverywhere and tagging @ororo.wear in accordance with the Campaign instructions, you agree that the Content is being submitted for potential use by ororo as described in these Terms.

Submission does not guarantee that your Content will be selected, displayed, reposted, or otherwise used by ororo.

2. License to Submitted Content

You retain any ownership rights you have in your Content.

By submitting Content to the Campaign, you grant ororo and its affiliates, subsidiaries, successors, assigns, service providers, advertising and marketing agencies, and authorized partners a non-exclusive, worldwide, royalty-free, fully paid-up license to use, reproduce, display, publish, repost, distribute, transmit, crop, resize, format, edit, adapt, and otherwise use the Content in connection with ororo, its products, and its marketing, advertising, promotional, and commercial activities.

This license includes the right to use the Content in or on, without limitation:

• ororo-owned or operated websites, including ororo.com and the ororo Everywhere map and gallery;
• ororo social media accounts and channels;
• organic social media posts, Stories, Reels, videos, and other social content;
• email marketing;
• SMS and other digital marketing communications;
• digital advertisements and paid social media;
• online and digital promotional materials;
• ecommerce and product pages;
• campaign pages, community pages, and digital galleries;
• public relations and media materials; and
• other ororo marketing, advertising, and promotional materials.

ororo may use the Content together with ororo branding, graphics, text, product information, links, or other creative elements.

ororo may make reasonable technical or creative modifications to the Content, including cropping, resizing, formatting, adding text or graphics, or adapting Content for different platforms, provided that such modifications do not materially misrepresent the Content or your statements.

3. Duration of License

The license granted under these Terms is perpetual, meaning ororo may continue using Content that was validly submitted to the Campaign without a fixed expiration date, subject to applicable law.

If you request that ororo stop using your Content, you may contact us using the information in Section 14 below. We will consider reasonable removal requests and, where appropriate or legally required, discontinue future uses under our control.

You acknowledge that Content may not be capable of being completely removed after publication, including where Content has been shared, reposted, distributed, archived, incorporated into previously produced materials, or made available through third-party platforms.

4. Name, Username, Location, Likeness, and Attribution

In connection with your submitted Content, you grant ororo permission to use information you voluntarily provide or make available as part of your Campaign submission, including your:

• first name or publicly displayed name;
• social media username or handle;
• photograph, image, appearance, voice, and likeness;
• caption or story submitted with the Content;
• city, state/province, country, landmark, venue, or other voluntarily provided location information; and
• information identifying the ororo product shown in the Content.

For example, an ororo Everywhere map entry may display your Content together with your username, general location, the ororo product featured, and a link to the applicable product page.

ororo may, but is not required to, provide attribution when using Content.

5. Your Representations and Responsibilities

By submitting Content, you represent and warrant that:

1. You are at least 18 years old or have reached the age of majority in your jurisdiction of residence;
2. You created the Content or otherwise own or control all rights necessary to grant the permissions described in these Terms;
3. Your submission and ororo's permitted use of the Content will not infringe or violate any copyright, trademark, privacy, publicity, contractual, or other right of any third party;
4. You have obtained appropriate permission from every identifiable person appearing in the Content for the Content to be submitted and used as described in these Terms;
5. If a minor appears in the Content, you are the minor's parent or legal guardian or have obtained appropriate permission from the minor's parent or legal guardian;
6. Your Content does not contain material that is unlawful, defamatory, threatening, obscene, intentionally misleading, or otherwise inappropriate;
7. Your Content accurately reflects your experience and opinions, where applicable; and
8. You will comply with applicable laws, regulations, and platform requirements when participating in the Campaign.

Please do not submit Content featuring another person if you do not have permission for that person's image or likeness to be used as contemplated by these Terms.

6. Selection and Use of Content

ororo has no obligation to use, publish, display, or retain any submitted Content.

ororo may determine, in its discretion and subject to applicable law, which eligible Content is featured on the ororo Everywhere map, website, social channels, marketing materials, or other Campaign-related placements.

ororo may remove Content from its website, map, gallery, or other channels at any time.

Selection or use of Content does not create an employment, agency, partnership, endorsement, or other business relationship between you and ororo.

7. Compensation

Unless expressly stated otherwise in a separate written agreement or applicable promotion rules, you will not receive payment, royalties, residuals, or other compensation from ororo for submitting Content or for ororo's permitted use of Content under these Terms.

Being featured by ororo does not guarantee compensation, products, prizes, or any other benefit.

8. Giveaways, Contests, and Promotional Offers

From time to time, ororo may offer giveaways, contests, challenges, awards, or other promotional opportunities in connection with ororo Everywhere.

Any such promotion may be governed by separate Official Rules or promotional terms, including eligibility requirements, entry periods, prize descriptions, winner-selection procedures, geographic restrictions, and other conditions.

Participation in the general ororo Everywhere Campaign does not automatically guarantee entry into, eligibility for, or receipt of a prize from any giveaway or promotion.

If separate Official Rules conflict with these Terms with respect to a particular giveaway or promotion, the Official Rules will control for that promotion.

No purchase is necessary to enter or win any sweepstakes where prohibited by law or where a no-purchase method of entry is required. A purchase will not increase the chances of winning.

9. Disclosure of Brand Relationships and Incentives

If you have a material relationship with ororo—including if you are an ambassador, affiliate, employee, paid partner, sponsored creator, or received free or discounted products, compensation, gifts, rewards, giveaway entries, or another benefit in connection with your post—you are responsible for clearly and conspicuously disclosing that relationship as required by applicable law and platform policies.

Where applicable, disclosures should be clear and easy for viewers to notice and understand, such as #ad, #sponsored, or another disclosure that accurately describes your relationship with ororo.

The Campaign hashtag #ororoEverywhere should not be treated as a substitute for a required sponsorship, endorsement, contest, or other material-connection disclosure.

10. Content Featuring ororo Products

ororo may identify products appearing in submitted Content and may display product names, descriptions, links, or shopping information alongside that Content.

The presence of a product link or other commercial information alongside your Content does not entitle you to commissions or other compensation unless you separately participate in an ororo affiliate, ambassador, or other program providing such compensation.

11. Social Media Platforms

The ororo Everywhere Campaign may operate through Instagram and other social media platforms.

Unless expressly stated otherwise in separate Official Rules, the Campaign is not sponsored, endorsed, administered by, or associated with Instagram, Meta, TikTok, X, or any other third-party social media platform.

Your use of any third-party platform remains subject to that platform's own terms, policies, and requirements.

12. Privacy

Information submitted or collected in connection with the Campaign will be handled in accordance with the ororo Privacy Policy and applicable law.

Participants should provide only the location information they are comfortable making public. If Content is selected for the ororo Everywhere map, ororo may display a city, state/province, country, landmark, venue, or other general location associated with the submission.

ororo may choose not to display precise location information where doing so could create privacy or safety concerns.

13. Modification or Termination of Campaign

To the extent permitted by applicable law, ororo reserves the right to modify, suspend, or discontinue the ororo Everywhere Campaign, its features, participation methods, or these Terms.

Any changes to these Terms will be reflected by an updated "Last Updated" date. Changes will apply prospectively unless otherwise permitted by applicable law.

14. Questions and Content Removal Requests

If you have questions regarding these Terms or wish to request removal of your Content from future ororo-controlled uses, please contact:

Please include sufficient information for us to identify the Content, such as your social media username, a link to the original post, and a description of where the Content appears.

15. General Terms

These Terms constitute the agreement between you and ororo regarding the rights granted through your participation in the ororo Everywhere Campaign, except where separate written agreements or promotion-specific Official Rules apply.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

Nothing in these Terms limits any rights that cannot lawfully be waived or restricted under applicable law.

By submitting Content in accordance with the ororo Everywhere Campaign and participation instructions using the hashtag #ororoEverywhere, you acknowledge that you have read and agree to these Terms.
